Technologies Corporation Terms of Use Agreement
E-Lock instaSign 2.0TM is a digital signing software service provided
by Frontier Technologies Corporation,
USA. Any usage of this software service is subject to the terms of use, as specified
hereinafter. Thus, before you register for your instaSign account or use instaSign
service in any way, you must read and agree to these Terms of Use and Privacy Policy,
including any future amendments:

Frontier Software Service – E-Lock instaSign 2.0TM
This Frontier Technologies Corporation Terms of Use Agreement ("AGREEMENT") is a
legal agreement between you (either an individual or a single entity) and Frontier
Technologies Corporation (Here after referred as "Frontier") for using
Frontier Software Service(s) identified above, which includes computer software,
associated electronic documentation, media and printed materials (referred as here
after "SOFTWARE SERVICE" or "SOFTWARE").
By creating a Coordinator account, installing instaSign 2.0 client components or otherwise
using the instaSign, you agree to be bound by the terms and conditions of this AGREEMENT
including the Privacy Policy. If you do not agree to the terms of this AGREEMENT,
you are not authorized to use the Frontier Software Service.
Frontier may amend this Agreement any time, in its sole discretion. Frontier will
notify registered Coordinators ("theCoordinator";
"the UCoordinators") about the changes (1) posting
a amended Agreement on the E-Lock instaSign website, or (2) sending information
regarding the amendment to the email address you have provided to Frontier while
registering for the Software Service. Every Coordinator should visit this page periodically
to review the terms of Agreement. Continued use of the Service will be deemed as
acceptance of the Coordinator to the amended Agreement.
1 TERMS OF USE
a. Description of Service
E-Lock
instaSign 2.0TM is an online digital signature service for bulk PDF signing,
from Frontier (the "Service"). Frontier reserves the right to modify, suspend or
discontinue the Service, fully or partially, to all Users or to some of them, with
or without notice at any time and without any liability to the Coordinator.
b. Using
Service
The
Service is made available to the Users for their personal and/or business use. The
Coordinator must provide current, accurate identification, contact, and other information
that may be required as part of the registration process and/or continued use of
the Service. The Coordinator is obliged to update Frontier with any changes in any of the
above details at instasign@elock.com
c. Age
You represent
and warrant that you are at least 18 years of age (or, as applicable, the age of
majority in the state or province or Country in which you reside), and that you
possess the legal right and ability to enter into this Agreement.
d. Confidentiality in Usage
The Coordinator is responsible for maintaining the security of his/her Account Login Id
and password, Digital certificates, and is responsible for all activities that make
use of the digital certificate, including but not limited to digitally signing documents,
which may have legal repercussions.
e. Proper Use
The Coordinator shall not agree to, and shall not authorize or encourage any third party
to: (i) prevent others from using the Service, or; (ii) use the Service for any
fraudulent, illegal or inappropriate purposes (iii) to disrupt the Service, or to
distribute content that violates the privacy, intellectual property or other proprietary
rights of any third party, or for purposes that Frontier reasonably determines to
be unlawful, obscene, defamatory, harassing, fraudulent, abusive, threatening, harmful,
vulgar, or otherwise objectionable. You are wholly responsible for the contents of
your transactions through this Service.
Violation of any of the foregoing may result in immediate termination of this Agreement,
and may subject you to state and federal penalties and other legal consequences.
f. Account Registration and Service Usage
The Service requires you to register for a password-protected
account. You represent and warrant that all of the information you provide to Frontier
is true, accurate and complete, and that you have legal right to use the e-mail
address(es) you provide. You agree to keep your information current by updating
your account information. You agree to maintain the confidentiality of your password
and account. You are responsible for all activities that occur under your account.
It is recommended that for uninterrupted service you should
(i) Log-In to your account at least once in 60 days. Failure to do so will
result in automatic deletion of your account. This applies to the signers as well.(ii)
Download all digitally signed
files within 10 days from date they are signed. Failure to do so will result
in automatic deletion of these files from your account. (iii) Make sure that the
Batch of PDF files (“Configuration”)
created are processed completely. It will be the responsibility of the Coordinator to ensure
that the signer signs the created Configurations within specified limit of time.
Any Configuration created or created but not started or not being processed will
be deleted after 30 days from the date of creation.
It will be the sole responsibility of the Account Coordinator to follow the above guidelines
and make sure his data is not lost.
g. Communication
You agree that all electronic communications or notices
sent to the e-mail address you provide to Frontier, placed in your account, or posted
on the Web Site will be considered “in writing” and received within five (5) business
days of its dissemination. Frontier disclaims all responsibility for all failures
in communication caused by failures of third parties to properly process or deliver
Frontier’s electronic communications.
h. Maintenance
The Service will occasionally be unavailable during system maintenance and upgrades.
This will be informed to the registered users via email and will also be displayed
on the website for the visitors. Frontier will make commercially reasonable efforts
to ensure that the Service will be available. However, Frontier disclaims all responsibility
for any interruptions or problems with the Service caused by external forces affecting
the reliability of the Internet or computer systems.
i. Account Cancellation
If your
account dues are clear, you may cancel your account and terminate this Agreement
at any time. Frontier recommends downloading of all the archived digitally signed
files because you will lose access to documents, messages or other content contained
in your account after cancellation. Frontier reserves the right to terminate any
account that violates the terms of this Agreement.
2 Frontier Rights and Disclaimer:
a. Disclaimer
Comments, feedback, information or materials ( here after referred as “Submissions”)submitted
to Frontier through or in association with this Site or SERVICE
shall be considered non-confidential and Frontier property. By submitting
such Submissions to “Frontier Software Service - E-Lock instaSign 2.0”, you agree
to assign Frontier, all worldwide rights, title and interest in copyrights and other
intellectual property rights to the Submissions at no charge.
Frontier shall be free to use these Submissions on an unrestricted basis. You acknowledge
that you are responsible to the Submissions that you provide and that you have full
responsibility for the legality and copyright to the Submissions you submit.
b.
Legal Information Disclaimer
The Service
offers documents and other information that may be relevant to the legal needs of
our users. However, the legal information available on or through the Service does
not constitute legal advice as it does not draw legal conclusions or apply the law
to the specific circumstances of each user. If you require legal advice, please
consult a licensed attorney/lawyer in your area. Your use of the Service cannot
replace the advice of an attorney or create an attorney-client relationship between
you and Frontier. Although Frontier makes reasonable efforts to ensure the accuracy
of the legal information it provides, the law is constantly changing, and Frontier
cannot guarantee the correctness or completeness of the legal information it provides.
c. COPYRIGHT
All title
and copyrights in and to the SOFTWARE SERVICE, the accompanying printed materials,
graphics and any components of the SOFTWARE SERVICE are owned by Frontier or its
suppliers. The SOFTWARE SERVICE is protected by copyright laws and international
treaty provisions.
d. NO WARRANTIES
Frontier
expressly disclaims any warranty for the SOFTWARE SERVICE. THE SOFTWARE SERVICE
AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND,
EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES
OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. The entire
risk arising out of use or performance of the SOFTWARE SERVICE remains with you.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM FRONTIER,
OR THROUGH OR FROM THE FRONTIER WEB SITE OR SERVICE, SHALL CREATE ANY WARRANTY NOT
EXPRESSLY STATED IN THIS AGREEMENT. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED
THROUGH THE USE OF THE SERVICE IS DONE AT YOUR SOLE DISCRETION AND RISK, AND YOU
WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA
THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
e. LIABILITY FOR DAMAGES
In no event shall Frontier or its suppliers be liable for direct damages or for
any consequential, incidental, special or indirect damages whatsoever (including,
without limitation, damages for loss of business profits, business interruption,
loss of business information, or any other pecuniary loss) arising out of the (i)
use of or inability to use the SOFTWARE SERVICE, (ii) UNAUTHORIZED ACCESS to or
ALTERATION of your documents, files or transmissions; even if Frontier Technologies
Corporation has been advised of the possibility of such damages. (iii) ANY OTHER
MATTER RELATING TO THE SERVICE. Frontier’s LIABILITY SHALL NOT EXCEED, IN THE AGGREGATE,
A SUM EQUAL TO THE AMOUNT OF FEES (IF ANY) PAID FOR USING THE SERVICE UNDER THIS
AGREEMENT.
3. DESCRIPTION
OF OTHER RIGHTS AND LIMITATIONS
a. Limitations on Reverse Engineering, Decompilation, and Disassembly
You cannot use the SOFTWARE SERVICE to create a competing product(s) to those of
Frontier. You should not reverse engineer, decompile, or disassemble the SOFTWARE
SERVICE, except and only to the extent that such activity is expressly permitted
by applicable law not withstanding this limitation.
b. No Distribution
You are not authorized to distribute the SOFTWARE SERVICE to third parties without
the written permission from Frontier.
c. Rental
You should not rent, lease or lend the SOFTWARE SERVICE.
d. Software Transfer
you may not transfer the SOFTWARE SERVICE, license, or any other rights to a third
party.
4. Termination
Without prejudice to any other rights, Frontier may terminate this AGREEMENT if
you fail to comply with the terms and conditions of this AGREEMENT. In such event,
you must destroy all component parts, other electronic files related to SOFTWARE
SERVICE.
5. MISCELLANEOUS
This AGREEMENT is governed by the laws of the State of
Virginia
